Terms and Conditions

These conditions form the contractual basis for every collaboration with Aelisa Studio. Please read them carefully, in particular the parts that apply to you.

Part A

General provisions

This part applies to all contracts, irrespective of whether the Client is a Consumer or a Business.

Sec. 1 Scope

  1. These General Terms and Conditions apply to all contracts for advisory, strategy, design, development and marketing services between Aelisa Studio (hereinafter "the Provider"), Amira Elisa Akta, Hauptstraße 49, 76764 Rheinzabern, and the client (hereinafter "the Client").
  2. Services are directed, depending on the contracting party, exclusively at consumers within the meaning of Sec. 13 of the German Civil Code (BGB) (hereinafter "Consumers") or at businesses within the meaning of Sec. 14 BGB (hereinafter "Businesses"). Whether a service is provided to a Consumer or a Business is determined by the status of the Client stated in the quotation or order confirmation.
  3. For Consumers these conditions apply as Part A together with Part B. For Businesses these conditions apply as Part A together with Part C. Part B and Part C do not apply to the respective other group of clients.
  4. Deviating or conflicting conditions of the Client are only effective if expressly agreed to in text form. This also applies to any reference to other sets of terms. Oral ancillary agreements and reservations require text form.
  5. Sec. 305 BGB does not apply.

Sec. 2 Formation of contract

  1. The presentation of services and prices on this website does not constitute a legally binding offer, but an invitation to submit an offer.
  2. A contract is formed when we accept your offer in text form, either by confirming acceptance or by commencing the work. Confirmation may be given by email.
  3. Work commences no earlier than on receipt of full payment of the deposit and written commissioning.

Sec. 3 Scope of services

  1. The subject of the commission is exclusively the service individualised in the order confirmation or quotation.
  2. Collateral services are only those expressly agreed as such.
  3. Requests for changes or extensions after formation of contract constitute additional services. They require text form and are charged separately.

Sec. 4 The Client's obligations to cooperate

  1. The Client shall provide the information, access, content and materials required to perform the commission in good time, in full and in a suitable form.
  2. Where the Client's cooperation is delayed, agreed deadlines extend accordingly.
  3. The Client shall ensure that content and materials provided are free of third-party rights and that the rights of use granted by the Client under Sec. 9 of these conditions are sufficient.
  4. Responsibility for the legal and factual accuracy of content supplied by the Client rests solely with the Client.

Sec. 5 Prices and remuneration

  1. Remuneration is made as a fixed price for the service agreed in the order confirmation.
  2. The fixed price is derived from the quotation. Unless otherwise agreed, the price is understood net.
  3. As a small business operator within the meaning of Sec. 19 of the German VAT Act, no VAT is charged. Invoices carry the note on the reverse charge procedure together with the VAT identification number of the recipient of the service.
  4. Travel costs, third-party services, licence fees, material costs and expenses for external service providers are reimbursed separately unless expressly included in the fixed price.

Sec. 6 Payment terms

  1. Unless otherwise agreed, 50% of the remuneration is due as a deposit on commissioning and 50% on acceptance.
  2. Invoices are payable within 14 days of the invoice date without deduction.
  3. In the event of default, default interest at a rate of 9 percentage points above the base rate under Sec. 288 BGB applies.
  4. Work only begins once the deposit has been received in full.

Sec. 7 Delivery, acceptance and deadlines

  1. Delivery is effected electronically and, where agreed, by handing over files, access credentials and approvals.
  2. Acceptance occurs as soon as the Client accepts the service. In addition, the service is deemed accepted no later than four weeks after complete provision and notification of completion, unless the Client notifies specific, traceable and reproducible defects in writing within that period.
  3. For Consumers, and deviating from paragraph 2, Sec. 640 (2) BGB does not apply; acceptance is not deemed to occur.
  4. Where acceptance is delayed for reasons attributable to the Client, the Client bears the additional costs of further processing.
  5. Contractually agreed deadlines shift insofar as the Client delays or prevents the agreed cooperation.

Sec. 8 Revision rounds

  1. Two revision rounds are included in the fixed price. A revision round comprises the implementation of all change requests collected and submitted up to that point.
  2. Revision rounds that exceed the agreed scope, or that are triggered by a later change to the basis of the commission, require text form and are charged on a time basis at the hourly rates agreed in the order confirmation.
  3. After the agreed revision rounds have been used up, further changes are charged.

Sec. 9 Rights of use

  1. On full payment of the remuneration the Provider assigns to the Client a non-exclusive, non-transferable right, unlimited in time and space, to use the work results created for the Client for the contractually agreed purpose.
  2. Rights in strategy drafts, texts, design concepts and concept sketches must be acquired separately unless expressly agreed otherwise.
  3. All rights in pre-existing tools, such as fonts, photographs, illustrations, licensed materials and components of third-party software, remain with the respective rights holders. Rights in these components are not covered by the assignment under paragraph 1.
  4. The Provider may name and display the created works in portfolios, references and its own marketing communications unless the Client objects in text form.

Sec. 10 Confidentiality

  1. Both parties shall treat all confidential information of the other party that becomes known to them in the course of the collaboration as confidential, and disclose it to third parties only where necessary to perform the contract or where a statutory disclosure obligation exists.
  2. The obligation lapses once the information has become generally known without any fault on the part of the disclosing party.

Sec. 11 Liability

  1. The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent of any guarantee it has assumed.
  2. In the case of simple negligence the Provider is liable only for breach of an essential contractual obligation. An obligation is essential where its performance enables performance of the contract in the first place and the Client is entitled to rely on its observance.
  3. In all other cases the Provider's liability is excluded.
  4. The above limitations of liability also apply in the case of breaches of duty by the Provider's statutory representatives and agents.
  5. The Provider's liability in total is limited to the contractually agreed fixed price.

Sec. 12 Warranty

  1. The warranty is governed by statutory provisions.
  2. The limitation period for warranty claims is 24 months from acceptance for new goods and 12 months from acceptance for used goods. Sec. 438 (4) BGB remains unaffected.

The additional rules in Part C of these conditions apply to Businesses.

Sec. 14 Final provisions

  1. Any amendment to these conditions requires text form and applies only to contracts concluded after the amendment.
  2. Should any provision of these conditions be or become invalid, the validity of the remaining provisions remains unaffected. The parties shall replace the invalid provision with a valid provision that comes as close as possible to its economic purpose.
  3. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For Consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory consumer protection provisions of their country of residence.

Sec. 15 Consumer dispute resolution

We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.

If a dispute arising from a consumer contract cannot be settled by negotiation, consumers may approach the following consumer arbitration board irrespective of the above:

Zentrum für Schlichtung e. V. – Universalschlichtungsstelle des BundesStraßlburger Straße 877694 Kehl am Rheinhttps://www.universalschlichtungsstelle.de
Part B

Special conditions for Consumers

This part applies in addition only if you act as a Consumer within the meaning of Sec. 13 BGB.

Sec. B 1 Right of withdrawal

consumers only

Consumers have a right of withdrawal of 14 days.

Withdrawal period

The withdrawal period is 14 days from the day the contract is concluded.

Consequences of withdrawal

On exercise of the right of withdrawal we must hand back the work results, files and access credentials assigned to you, at your request and against our corresponding remuneration, and must take back the services. Where return is not possible, the right of withdrawal only expires if the obstacle to return is not attributable to the consumer.

Commencement of performance before expiry of the withdrawal period

Where you expressly request, with your consent, that the service be performed or created during the withdrawal period, you lose the right of withdrawal once performance is complete. Your consent to immediate performance and to the loss of the right of withdrawal must be confirmed separately in advance.

Withdrawal form: if you withdraw from the contract, please inform us stating your name, address, the date and your signature. Our email address is hello.aelisa.studio@gmail.com. The period begins on the day we receive your declaration of withdrawal, not on the day you send it.

Sec. B 2 Special provisions for Consumers

consumers only
  1. Deviating from Sec. 7 (2) of these conditions, the service is not deemed accepted for Consumers through the mere expiry of a period.
  2. The limitation period for warranty claims for new goods is 24 months from acceptance.
  3. Sec. 12 (2) of these conditions applies to Consumers only in respect of used goods.

Sec. B 3 No agreement on jurisdiction

consumers only

Any contrary agreement on jurisdiction is void vis-à-vis consumers. Statutory rules on jurisdiction remain unaffected.

Part C

Special conditions for Businesses

This part applies in addition only if you act as a Business within the meaning of Sec. 14 BGB.

Sec. C 1 Additional provisions for Businesses

business clients only
  1. The deemed acceptance in Sec. 7 (2) of these conditions applies to Businesses.
  2. For Businesses, the limitation period for warranty claims is shortened to 12 months from acceptance, unless the commission concerns a newly manufactured item.
  3. For any claims of any kind arising out of or in connection with the contract, the place of jurisdiction is exclusively Rheinzabern, in both local and subject-matter terms, provided the Business is a merchant, a legal person under public law or a public-law special fund.
